Absolute Legal Constraints & Terms

• Technology Service Sharing (13%): Zero monthly subscription fees. The platform's revenue model relies strictly on a 13% technology sharing rate from the value of successful, valid booking transactions.
• Payment Gateway Cost Bearing (Stripe Connect): All payments are processed securely via Stripe Connect. The Hotel Client must bear 100% of the transaction processing costs (Local Cards: 2.9% + RM1.00; International Cards: 3.4% - 3.9% + RM1.00).
• Annual SaaS Maintenance Settlement & Renewal Policy: A mandatory SaaS maintenance charge of RM 100.00 (~$23 USD) per annum is collected upfront upon onboarding to secure enterprise system security, high-uptime node performance, encrypted digital vault storage, and payment gateway safety. Prior to yearly expiration, official renewal reminder emails will be dispatched 14 days and 1 day in advance. Clients retain absolute discretion to renew or terminate; failure to remit renewal settlements by the expiration date will execute an automatic, permanent account deactivation and unrecoverable data purge of all vault records.
• Tax Liability & Guest Invoices: The Hotel Client is absolutely required to issue official invoices, bills, and manage the collection of local tourism/service taxes directly to the end guest. AETERNA operates solely as cloud middleware and is completely exempt from local tourism tax liabilities.
• Absolute Disconnection Right (Kill Switch): AETERNA holds the absolute right to terminate and disconnect the hotel's API node immediately without prior notice if fraudulent activity, integrity breaches, or foreign legal threats are detected.
